Newell Brands Names PricewaterhouseCoopers LLP as Independent Auditor

Newell Brands Inc. announced the appointment of PricewaterhouseCoopers LLP as its independent auditor, replacing Ernst & Young.

In connection with the combination of Newell Rubbermaid Inc. and Jarden Corporation, the company’s Audit Committee of the Board of Directors conducted a competitive process to determine the company’s independent registered public accounting firm for the 2016 fiscal year. Following a review of proposals from the accounting firms that participated in the process, the Audit Committee selected PwC, who has served as Jarden’s independent registered public accounting firm since 2008. PwC will replace EY, Newell Rubbermaid’s current independent auditor who has worked with the company since 2002. “All of us at Newell Brands wish to express our sincere appreciation to the EY professionals who have served us well,” said Michael Polk, Newell Brands Chief Executive Officer. “We also welcome the distinguished PwC team who will join us as our independent auditor at Newell Brands.”

The termination of EY will become effective upon completion of the firm’s review procedures on the unaudited interim financial statements of Newell Rubbermaid as of and for the quarter ended March 31, 2016, and the filing of the related Quarterly Report on Form 10-Q. The decision to change auditors was not the result of any disagreement between the company and EY on any matter of accounting principle or practice, financial statement disclosures or auditing scope or procedure.
