James-Bates-Brannan-Groover-LLP, a full-service law firm with offices in Macon and Atlanta, announces the addition of attorney Lyn Gunter Schroeder, formerly with Bryan Cave LLP, to the Firm’s Financial Institutions practice group.

Ms. Schroeder’s practice focuses on advising financial institutions and their boards regarding strategic corporate transactions, federal and state security law matters and regulatory compliance.

She has represented financial institutions in numerous capital transactions, including the issuance of secured debt, subordinated debt, preferred stock and common stock. Ms. Schroeder also routinely advises clients on corporate and securities matters, including public offerings, private placements, “going private” transactions, reorganizations, tender offers, recapitalizations and proxy solicitations. She represents buyers and sellers in public and private mergers and acquisitions of financial institutions, including branch acquisitions and the sale of business units.

Ms. Schroeder also advises financial services companies regarding reporting and compliance obligations under securities laws and regulations, including periodic reporting, insider trading issues and fair disclosure. She frequently counsels boards of directors regarding corporate governance issues and director’s fiduciary duties and provides advice on regulatory and compliance matters related to financial institutions. She also provides advice regarding employment agreements and incentive plans and tax and business strategies.

Prior to joining James-Bates-Brannan-Groover-LLP, Ms. Schroeder worked as an attorney at Bryan Cave LLP in Atlanta, as an auditor at Grant Thornton, LLP and as a banking officer at SouthTrust Bank of Georgia. Ms. Schroeder earned her Bachelor of Arts degree in Accounting from Georgia State University in 1993 and her Juris Doctor from the University Of Georgia School Of Law in 1998.
